1. Agreement to Terms

2. Services
A.C. SOLUTIONS provides technology services including but not limited to:
- Custom software development
- Web design and development
- Mobile application development
- Intranet and enterprise systems
- IT solutions and digital transformation
- Related computer and technology solutions
The specific scope, deliverables, timelines, and fees for any project will be set out in a separate proposal, quotation, or service agreement agreed between the parties.
3. Client Responsibilities
When you engage our services, you agree to:
- Provide accurate and complete information required for the project
- Respond to requests for feedback, content, or approvals within reasonable timeframes
- Ensure you have the right to use any materials, logos, content, or data you provide to us
- Make payments according to the agreed schedule
- Use the delivered solutions only for lawful purposes
4. Payment Terms
Payment terms will be specified in the project proposal or invoice. Unless otherwise agreed in writing:
- A deposit may be required before work begins
- Milestone or final payments are due as stated on invoices
- Late payments may result in suspension of work or delivery until the outstanding amount is settled
- All fees are quoted in Nigerian Naira (NGN) unless otherwise stated
5. Intellectual Property
Upon full payment of all fees due for a project:
- You will own the final deliverables specifically created for you (custom code, designs, and content produced under the project), subject to any third-party licences
- We retain ownership of our pre-existing tools, frameworks, libraries, methodologies, and generic components
- We reserve the right to display non-confidential work in our portfolio and marketing materials unless you request otherwise in writing
Until full payment is received, all intellectual property in the work remains with A.C. SOLUTIONS.
6. Warranties and Limitations
We strive to deliver high-quality, professional work. However:
- Services are provided on an "as is" basis to the extent permitted by law
- We do not warrant that the website or any solution will be uninterrupted, error-free, or completely secure
- Any warranty period or support terms will be stated in the project agreement
- To the maximum extent permitted by Nigerian law, our total liability arising from any project shall not exceed the total fees paid by you for that project
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of a project, including business data, source code, and project details, and not to disclose it to third parties without prior written consent, except as required by law.
8. Termination
Either party may terminate a project engagement according to the terms set out in the project agreement. Upon termination:
- You remain responsible for payment of work completed up to the termination date
- We will deliver any completed work for which payment has been received
- Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination
9. Website Use
When using our website you agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorised access to any part of the site or related systems
- Transmit viruses, malware, or other harmful code
- Scrape, copy, or redistribute content without permission
10. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
